End User License Agreement

1. Acceptance of Terms

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User", "Customer", "you") and Infotree Computers LLC ("Company", "we", "us") for the use of InvoiceUAE ("the Service"), a UAE Peppol e-invoicing SaaS platform.

By registering for, accessing, or using the Service, you agree to be bound by this Agreement. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

2. License Grant

Subject to the terms of this Agreement and payment of applicable subscription fees, Infotree Computers LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service through our web application for your internal business purposes
• Connect your QuickBooks Online account to the Service via OAuth 2.0
• Generate UAE Peppol PINT-AE compliant XML invoices from your QuickBooks data
• Submit electronic invoices to your chosen UAE FTA-approved Accredited Service Provider (ASP)

This license does not include the right to sublicense, resell, or redistribute the Service without our prior written consent.

3. Permitted and Prohibited Uses

You may:

• Use the Service for your legitimate UAE business e-invoicing needs
• Allow authorized employees and team members within your organization to access the Service
• Export your invoice data and reports for your own records
• Connect multiple QuickBooks Online accounts if subscribed to an appropriate plan

You may not:

• Share your account credentials with unauthorized parties outside your organization
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service to process invoices for businesses other than your own without a reseller agreement
• Attempt to circumvent any security measures or access controls
• Use the Service for any unlawful purpose or in violation of UAE laws and regulations
• Submit fraudulent, false, or misleading invoice data through the Service
• Resell or sublicense access to the Service without written permission from Infotree Computers LLC

4. QuickBooks Online Integration

The Service integrates with QuickBooks Online through Intuit's official OAuth 2.0 API. By connecting your QuickBooks Online account, you acknowledge and agree that:

• InvoiceUAE accesses your QuickBooks data in read-only mode — we never create, modify, or delete data in your QuickBooks account
• You authorize us to read your invoices, customers, credit notes, and basic company information
• You are responsible for ensuring your QuickBooks data is accurate before submission to the ASP
• You may revoke our QuickBooks access at any time through QuickBooks Settings → Apps → Connected Apps
• Intuit's own Terms of Service and Privacy Policy govern your QuickBooks Online account separately
• We are not responsible for any changes Intuit makes to their API that may affect Service functionality

5. Subscription and Payment

Free Trial: New accounts receive a 15-day free trial with full access to Service features. No credit card is required for the trial period.

Subscription Plans: After the trial period, continued use requires a paid subscription. Plans (Starter, Business, and Enterprise, differentiated by monthly invoice volume and features) are billed monthly in UAE Dirhams (AED) at the rate quoted to you at signup or as published on our pricing page at the time of purchase.

Payment: Subscription fees are billed in advance on a monthly basis at the agreed rate for your selected plan. Failure to pay may result in suspension of Service access.

Refunds: Monthly subscription fees are non-refundable except where required by UAE consumer protection laws. You may cancel at any time and your access will continue until the end of the paid billing period.

Price Changes: We will provide 30 days notice before any price increases take effect.

6. Data Ownership

You retain full ownership of all data you provide to or generate through the Service, including your invoice data, customer data, and company information.

By using the Service, you grant Infotree Computers LLC a limited license to process, store, and transmit your data solely for the purpose of providing the Service to you.

We do not claim any ownership over your QuickBooks data, invoice data, or any other content you provide. Your data is your data.

You may export all your data at any time through the Reports section of the Service in CSV or Excel format.

7. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice where possible)
• Unplanned technical issues or outages
• Third-party service disruptions (QuickBooks API, ASP availability)
• Force majeure events

Enterprise Plan customers receive a Service Level Agreement (SLA) with guaranteed uptime commitments. Contact us for SLA details.

8. UAE Compliance Disclaimer

InvoiceUAE generates Peppol PINT-AE compliant XML invoices based on the data you provide from QuickBooks Online. However:

• You are responsible for ensuring the accuracy and completeness of your invoice data in QuickBooks Online
• You are responsible for enriching invoices with correct UAE-specific fields (TRN, emirate, supply type, tax category)
• InvoiceUAE is a technology tool — it is not a tax advisor or legal advisor
• Final responsibility for UAE FTA compliance rests with you and your organization
• We are not liable for ASP rejections caused by incorrect or incomplete data provided by you
• UAE FTA regulations may change — we endeavor to update the Service promptly but cannot guarantee immediate compliance with new regulations

9. Limitation of Liability

To the maximum extent permitted by UAE law, Infotree Computers LLC shall not be liable for:

• Any indirect, incidental, special, or consequential damages arising from use of the Service
• UAE FTA penalties or fines resulting from incorrect invoice data or missed deadlines
• Loss of business, revenue, or profits
• Data loss due to circumstances beyond our reasonable control
• Disruptions to QuickBooks Online or ASP services outside our control

Our total liability to you for any claims arising from this Agreement shall not exceed the total subscription fees you paid to us in the 3 months preceding the claim.

10. Termination

By You: You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period.

By Us: We may suspend or terminate your access if you:

• Violate any terms of this Agreement
• Fail to pay subscription fees after a 14-day grace period
• Use the Service for fraudulent or illegal purposes
• Engage in activities that harm other users or the Service

Effect of Termination: Upon termination, your right to use the Service immediately ceases. You may request export of your data within 30 days of termination. After 30 days, we may delete your data subject to regulatory retention requirements.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
